Overview

On December 18, 2023, the U.S. Department of Justice (DOJ) and Federal Trade Commission (FTC) jointly issued new merger guidelines—a development that may lead to greater regulatory scrutiny of health care transactions going forward. Don’t miss this informative webinar to learn how the new guidelines will immediately impact hospitals and health systems.

The new guidelines indicate that the U.S. antitrust agencies are generally averse to consolidation, with a particular focus on preventing consolidation in certain industries, like health care. The guidelines are the latest effort by the federal government to advance President Biden’s July 9, 2021 Executive Order that encouraged federal agencies to work together to enforce the federal antitrust laws by, among other things, scrutinizing health care consolidation and pricing of health care services.

This session will be important for hospital leaders and counsel who are in the midst of, or considering, these business ventures.

Faculty

Sean P. McConnell, Vice-Chair of Duane Morris’ Antitrust and Competition Group. He represents clients on the full range of antitrust matters, including their most high-stakes cases, including complex class actions, civil government investigations, and the antitrust aspects of mergers, acquisitions, joint ventures, and other collaborations. Mr. McConnell counsels companies, trade associations, and professional societies and their members on a broad range of antitrust issues, including preparing custom-designed compliance programs.

Sean Zabaneh, Partner, Duane Morris LLP is a solutions-focused trial attorney, representing a diverse group of clients in highly regulated industries with particular focus in the health care and life sciences industries. He is a member of the Commercial and Antitrust Litigation Division of the firm's Trial Practice Group and is a team member of the Health and Life Sciences industry groups. Mr. Zabaneh represents clients in high-stakes corporate governance, intellectual property, breach of contract and antitrust and competition litigation, including complex class action litigation. Mr. Zabaneh has substantial courtroom experience in dozens of state and federal court trials, administrative proceedings, government investigations, arbitrations, and mediations.
